Terms of Service

1. Agreement to Terms
By accessing or using the AxiaCRM web application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and AxiaCRM ("Company," "we," "us," or "our").
2. Description of Service
AxiaCRM is a customer relationship management platform that includes contact management, vendor management, power dialer, email, calendar, AI-powered sales tools, analytics, and related features. The specific features available to you depend on your subscription plan.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Pricing
Access to the Service requires a paid subscription. The current subscription price is $105 per seat per month. Pricing is subject to change with 30 days written notice. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Subscriptions renew automatically on a monthly basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Send unsolicited communications in violation of anti-spam laws (including the CAN-SPAM Act and TCPA)
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service or its related systems
- Use the Service to store or transmit content that infringes intellectual property rights
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service without our written consent
6. Your Data
You retain all ownership rights to the data you input into the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide, maintain, and improve the Service. We will not access Your Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations.
You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. You must comply with all applicable data protection laws when using the Service to process personal information.
7. Intellectual Property
The Service, including its software, design, text, graphics, and all related intellectual property, is owned by AxiaCRM and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
8. Telephony and Communication Compliance
If you use the integrated dialer or communication features, you are solely responsible for complying with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA), Federal Communications Commission (FCC) regulations, and any state or local regulations. You must obtain all required consents before making calls or sending messages through the Service. We are not responsible for your compliance with these laws.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruption caused by circumstances beyond our reasonable control, including but not limited to internet outages, third-party service failures, and force majeure events.
10. Limitation of Liability
To the maximum extent permitted by law, AxiaCRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.
12. Indemnification
You agree to indemnify and hold harmless AxiaCRM, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export Your Data within 30 days of termination by contacting support. After 30 days, we may delete Your Data in accordance with our data retention policies.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
